Our 121st Annual General Meeting
We held our 121st Annual General Meeting (AGM) on Monday 11 November at the Adelaide Entertainment Centre.
Attending members heard President and Chairman Kathy Gramp and Chief Executive Officer Nick Reade outline what RAA delivered for members in the 2023-24 financial year, and their vision for RAA's future. If you weren’t able to attend, you can read our 2023-24 Annual Report.
At the AGM, members:
- Confirmed the minutes of the Annual General Meeting held 27 November 2023
- Received the President's report, CEO's Report and Accounts for the year ended 30 June 2024
- Passed a Special Resolution to change the legal identity of RAA to a public company limited by guarantee, and approve a new constitution, and
- Passed an Ordinary Resolution to increase the maximum remuneration pool payable to Directors.

Votes cast by a person who abstains on an item do not count toward the majority in a poll.
Next steps
Following the passing of Item 3 (Special Resolution) at the AGM, RAA will request the Commissioner of Consumer Affairs to issue a conversion order to transfer RAA's operations to the new company limited by guarantee, effective 1 July 2025. The new Constitution will also become effective from this date. RAA will keep members updated as this process progresses.
Following the passing of Item 4 (Ordinary Resolution) at the AGM, the Board will engage with an independent remuneration expert to advise on the appropriate allocation to be applied in setting Director fees. Any increase to Directors' fees will be applied over several years up to the maximum of $800,000 per year.
